1. Scope of Work
Tecport Pty Ltd agrees to provide home automation products and services as outlined in the proposal. Any additional work or modifications beyond the agreed scope must be documented in writing through a formal change request process and will be subject to additional costs and revised timelines. Tecport Pty Ltd is not responsible for structural modifications, third-party services, or pre-existing issues.
2. Pricing & Payment Terms
In consideration of the provision of the services in accordance with the agreed scope, the client or builder will pay Tecport Pty Ltd the pricing as specified in the provided quotation. All pricing is as specified in the provided quotation. Payments must be made according to the agreed schedule. Failure to make timely payments may result in the suspension of work, additional charges, or contract termination. Payments made later than 30 days post the due date incur a 5% late fee. Tecport Pty Ltd will provide the client or builder with a tax invoice and payment will be made by the client/builder to Tecport Pty Ltd within [insert] days after receiving Tecport Pty Ltd’s invoice.
3. Project Timeline
Project duration will be determined in conjunction with the client or builder. Tecport Pty Ltd is not responsible for delays caused by factors beyond its control, including but not limited to client actions, third-party contractors, supply chain disruptions, or force majeure events. Client or builder-induced delays may result in additional charges.
4. Client / Builder Responsibilities
The client or builder must ensure site access is provided to Tecport Pty Ltd (including its employees, contractors and agents) for installation and service work as required. Site and conditions must be compliant with Australian safe work standards. It is the client or builder’s responsibility to confirm that existing infrastructure (e.g., power supply, internet connection, networking equipment) meets the necessary specifications. Tecport Pty Ltd shall not be held liable for delays or additional costs resulting from inadequate site conditions or client / builder-provided materials and timeline variables.
In addition, prior to, and during, performance of the services the client or builder will:
a) cooperate with Tecport Pty Ltd as Tecport Pty Ltd reasonable requires;
b) provide the information and documentation that Tecport Pty Ltd reasonable requires;
c) ensure the client’s/builder’s staff and agents cooperate with and assist Tecport Pty Ltd.
5. Product Warranties & Guarantees
Tecport Pty Ltd provides a manufacturer’s warranty for all supplied products, subject to the manufacturer’s terms. Warranty on Zennio products is 3 years. Warranty on labour is 2 years. The warranty does not cover damage due to misuse, unauthorised modifications, third-party interference, or environmental factors beyond normal use. Warranty claims must be submitted in writing to Tecport Pty Ltd within the applicable warranty period.
Tecport Pty Ltd warrants that it will use reasonable care and skill in performing the services. If Tecport Pty Ltd performs the services (or any part of the services) negligently or in breach of these terms and conditions then, if requested by the client or builder, Tecport Pty Ltd will re-perform the relevant part of the services.
6. System Performance & Limitations
System performance depends on external factors such as internet connectivity, third-party integrations, and environmental conditions. Tecport Pty Ltd is not liable for disruptions caused by ISP issues, software updates, or third-party device failures or any other disruptions beyond the control of Tecport Pty Ltd.
7. Third party Indemnity
Additionally, Tecport Pty Ltd is not responsible for maintaining gardens, lawns, pool water levels, or other external environmental conditions. It is the client’s responsibility to monitor and manage property facilities. Tecport Pty Ltd does not include any underground digging works.
8. Liability & Indemnity
Tecport Pty Ltd is not liable for any incidental or consequential damages resulting from the installation, use, or failure of the system or any of the services it provides in accordance with the agreed scope of works. The client or builder agrees to indemnify and hold Tecport Pty Ltd harmless from any claims arising due to third-party interference, misuse, or unauthorised modifications to the system. Tecport Pty Ltd is not responsible for client-installed network or hard-wired devices.
9. Ownership & Intellectual Property
All software configurations, programming, and system setups remain the intellectual property of Tecport Pty Ltd. The client/builder is granted a non-exclusive license to use the system but is not permitted to duplicate or distribute the software.
10. Custom Design
Cinema theatre custom design charge is for the design and subsequent 3D drawings of your home cinema. This cost is non-refundable. Fee includes one metropolitan area site inspection. Depending on the level of specifications and design changes you require, modifications may incur further charges.
11. Variations & Change Orders
Any changes to the agreed scope must be managed via our formal change request process and approved by the client or builder and Tecport Pty Ltd. Variations can lead to adjustments in cost and timeline. Tecport Pty Ltd reserves the right to decline variations that compromise viability or long-term reliability for the project.
12. Termination & Cancellation
If the client or builder cancels part or all of the project after work has commenced, they will be liable for costs incurred for completed work and procured materials. Deposits are non-refundable.
13. Maintenance & Support
Post-handover support is available. Issue resolution on Tecport Pty Ltd only products and services beyond the warranty period is subject to additional charges. Service response times may vary.
14. Force Majeure
Tecport Pty Ltd shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, supplier failures, or governmental actions.
15. Law & Jurisdiction
These terms and conditions are governed by, and will be construed in accordance with the laws from time to time in force in South Australia, Australia. The client or builder submits to the non-exclusive jurisdiction of the courts of South Australia.
